TERMS & CONDITIONS OF SALE

In these Terms, “the Company”, “we”, “us” and “our” refer to Unison Colour Pastels Limited. “The Customer”, “you” and “your” refer to the purchaser of our goods.

2. Application of These Terms

2.1 These Terms & Conditions apply to all sales of goods by Unison Colour Pastels Limited, whether within the United Kingdom or internationally.

2.2 By placing an order with us, you agree to be bound by these Terms, which override any terms proposed by you unless expressly agreed in writing by a director of Unison Colour Pastels Limited.

3. Trade Sales Only

3.1 These Terms & Conditions apply to trade customers only and do not apply to consumer sales.

3.2 By placing an order with us, you confirm that you are acting in the course of business and not as a consumer.

3.3 These Terms apply to all quotations, orders and contracts for the sale of goods unless expressly agreed otherwise in writing by us.

4. Products

4.1 All products are handmade soft pastels. Due to the nature of handmade manufacture, minor variations in colour, size, shape or finish may occur and shall not constitute a defect.

4.2 Product descriptions, images and colour representations in catalogues, on our website or in other materials are provided for guidance only. We cannot guarantee exact colour matching due to production methods and screen or print variations.

4.3 All products are subject to availability. We reserve the right to discontinue or change our products without notice.

5. Product Warnings, Resale Obligations and Indemnity

5.1 Our products are supplied with warning and safety labels which comply with applicable UK and international product safety, consumer protection and chemical labelling regulations as at the date of manufacture.

5.2 Where you sell our products to the public, you shall:

  • ensure that all warning labels, safety information and ingredient disclosures supplied by the Company remain affixed to the products or boxes and are not removed, obscured, altered or rendered illegible; and
  • where products are repackaged, decanted, relabelled or sold without their original packaging, ensure that equivalent and compliant warning labels, safety information and ingredient disclosures are clearly and prominently provided to the end user prior to sale.

5.3 The Customer acknowledges that failure to provide appropriate warnings and safety information may expose end users to risk and may give rise to claims under product liability, consumer protection or negligence laws.

5.4 You shall indemnify, keep indemnified and hold harmless the Company against all liabilities, losses, damages, costs, expenses (including legal and professional costs), claims, demands, actions or proceedings arising out of or in connection with:

  • the removal, alteration or failure to display the Company’s warning labels, safety information or ingredient disclosures;
  • the Customer’s failure to adequately inform purchasers or end users of any hazardous, toxic or otherwise dangerous properties of the products; and
  • any resale, repackaging, relabelling or supply of the products by the Customer that is not in accordance with this clause.

5.5 This indemnity shall apply whether such claims are brought in contract, tort (including negligence), under statute (including product liability legislation) or otherwise, and shall survive termination of this Agreement.

6. Restrictions on Onwards Sales

6.1 The Customer shall not list or sell our goods or products on any third-party online marketplace or platform (including, without limitation, Amazon, eBay or Etsy).

6.2 The Customer acknowledges that any breach of the restriction of onward sale may cause irreparable harm to the Company for which damages alone may be an inadequate remedy, and agrees that the Company shall be entitled to seek injunctive or equitable relief in addition to any other remedies available.

7. Orders

7.1 All orders are subject to acceptance by us. No order shall be deemed accepted until we issue an order confirmation or dispatch the goods.

7.2 We reserve the right to refuse or cancel any order at our discretion.

7.3 Orders may not be cancelled once production has begun, except at our discretion.

8. Prices

8.1 Prices are quoted in GBP unless otherwise stated and are exclusive of VAT, delivery charges, customs duties, import taxes and other applicable charges unless stated otherwise.

8.2 Where goods are supplied from the United Kingdom to customers outside the United Kingdom, such supplies are treated as exports for UK VAT purposes, and import VAT shall be payable by the Customer in the country of import.

8.3 We reserve the right to amend prices at any time prior to order acceptance.

9. Payment

9.1 Unless otherwise agreed in writing by the Company or otherwise stated on the invoice, payment of all invoices shall be due in full within 30 days of the date of invoice.

9.2 Time for payment shall be of the essence.

9.3 For international orders, payment must be made in cleared funds prior to dispatch unless otherwise agreed in writing.

9.4 If the Customer fails to make payment by the due date, the Company reserves the right to charge interest on the overdue amount at a rate of 4% per annum above the Bank of England base rate, accruing on a daily basis from the due date until payment is made in full, whether before or after judgment.

9.5 The Company may, in addition to interest, recover from the Customer all reasonable costs and expenses incurred in the recovery of overdue sums, including (without limitation) legal fees, debt collection agency fees and court costs.

9.6 The Company reserves the right to suspend further deliveries or performance under any contract with the Customer while any invoice remains unpaid.

9.7 Nothing in this clause shall limit the Company’s right to claim statutory interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

10. Trade Customer Credit Limits

10.1 Any credit limit extended to the Customer is granted at the Company’s discretion and may be reduced or withdrawn at any time without notice.

10.2 The Company may apply any payment received from the Customer to outstanding invoices in such order as the Company determines, notwithstanding any purported allocation by the Customer.

10.3 The Company reserves the right at any time to withdraw credit terms and require payment in advance or on delivery if the Customer fails to make any payment when due or if the Company reasonably believes the Customer may be unable to meet its payment obligations.

11. Delivery

11.1 We deliver using a range of carriers including, but not limited to, Royal Mail, DPD and UPS, depending on items, destination and shipment size.

11.2 Risk in the goods passes to you when the goods are placed at your disposal at the named place of destination, in accordance with DAP Incoterms® 2020.

11.3 The Customer shall act as importer of record for all international deliveries unless expressly agreed otherwise in writing.

11.4 For international deliveries, you are responsible for:

  • compliance with local import regulations
  • customs clearance
  • payment of all applicable duties, taxes and charges

11.5 Unless otherwise expressly agreed in writing, all international deliveries are made on a DAP (Delivered At Place) basis in accordance with Incoterms® 2020.

11.6 Under DAP Incoterms® 2020:

  • we arrange and pay for transport to the named place of destination
  • you are responsible for import customs clearance, and for payment of all duties, import VAT, local taxes and charges

11.7 Delivery within the United Kingdom shall be on equivalent terms to DAP Incoterms® 2020, where applicable.

11.8 Delivery dates are estimates only and are not guaranteed.

11.9 We shall not be liable for delays caused by carriers, customs authorities or events beyond our reasonable control.

12. Insurance (DAP)

12.1 Unless otherwise expressly agreed in writing, we do not insure the goods during transit.

12.2 The Customer is responsible for arranging any transit insurance they consider appropriate.

12.3 At the Customer’s written request and expense, we may arrange insurance on the Customer’s behalf, in which case the cost shall be added to the invoice.

12.4 We shall not be liable for loss or damage during transit except to the extent required by applicable law.

13. Title

Title to the goods shall not pass to you until we have received full payment in cleared funds.

14. Claims for Damage or Shortage

14.1 You must inspect the goods immediately upon receipt.

14.2 Any claims for missing or damaged goods must be notified to us in writing within 7 days of receipt. This must be by email to sales@unisoncolour.com.

14.3 Failure to notify us within this period shall constitute acceptance of the goods.

15. Returns and Refunds

15.1 Due to the nature of our products, goods are not returnable unless faulty or damaged, or otherwise agreed in writing with a director of Unison Colour Pastels Limited.

15.2 Where goods are confirmed to be faulty or damaged, our liability shall be limited to replacement of the goods or refund of the purchase price, at our discretion.

15.3 We shall not be responsible for damage caused by misuse, improper storage, or normal wear and tear.

16. Limitation of Liability

16.1 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental or consequential loss, including loss of profits, business or reputation.

16.2 Our total liability in respect of any order shall not exceed the value of the goods supplied under that order.

16.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under law.

17. Force Majeure

We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, war, industrial action, supply chain disruption, or transport delays.

18. Intellectual Property

All intellectual property rights in our products, designs, catalogues, images and branding remain the property of Unison Colour Pastels Limited. No rights are granted to you except as necessary to use the goods.

19. Governing Law and Jurisdiction

19.1 These Terms are governed by and construed in accordance with the laws of England and Wales.

19.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Amendments

We reserve the right to amend these Terms at any time. The version in force at the time of order acceptance shall apply.

Colour Chart Guidance

We believe the colours in our web based colour chart are a faithful representation of our pastel range. But with any colours portrayed on the internet, there’s a whole heap of variables which mean that what you see, may not be what we see. That said, there’s some things that can be done to mitigate some of the variance.

Mobile phone and tablet screens tend to be pretty good for colour, so they’re always worth using, when viewing our colour chart.

We hate to say it, but cheaper computer displays, including laptops, can be rather hit and miss, in both colour and contrast, so they might not reveal the depth of the colour, as well as the true tone.

If you’re really keen on getting your computer up to speed on colour representation, you can use a calibration device to reach your display's fullest potential.

With all that said, if you think we’re way off the mark with any of the colours then, by all means let us know, and we’ll give it another shot.
